Terms of Service

1. Acceptance of Terms

By accessing or using Shapen's services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our service.

2. Service Description

Shapen provides an AI-powered service that converts 2D images into 3D models. Our service is provided "as is" and may be subject to changes, interruptions, or discontinuation at any time.

3. User Accounts

You must be at least 18 years old to use our service
You are responsible for maintaining the security of your account
You must provide accurate and complete information
You may not share your account credentials

4. Assignment of Rights

By uploading or submitting any images, content, or other materials ("User Content") to Shapen, you hereby assign and transfer to Shapen all rights, title, and interest in such User Content. This assignment includes, without limitation, all copyrights, trademark rights, and other intellectual property rights you hold in the User Content to the fullest extent permissible by law.

3D Models

Any 3D models generated by or through the Shapen service (the "Generated Models") are and shall be the sole and exclusive property of Shapen. You acknowledge and agree that Shapen retains all rights, title, and interest in and to the Generated Models, including any modifications, enhancements, or derivative works thereof.

License Back to You

Shapen grants you a limited, revocable, non-exclusive, non-transferable license to access, view, and use the User Content and Generated Models solely for your personal or internal business use within the Shapen platform. This limited license does not grant you the right to sublicense, redistribute, or otherwise exploit the User Content or Generated Models outside the scope of your use on Shapen's services.

Representations and Warranties

By uploading any User Content, you represent and warrant that:

You have all necessary rights, permissions, and authority to assign and transfer ownership of such User Content to Shapen.
Your User Content does not infringe or violate any third-party intellectual property or privacy rights.

Indemnification

You agree to indemnify and hold harmless Shapen from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in connection with any breach of the representations and warranties above, or any claim by a third party that Shapen's ownership or use of the User Content violates their rights.

5. Acceptable Use

You agree not to:

Upload content that infringes on intellectual property rights
Use the service for illegal purposes
Attempt to reverse engineer our technology
Interfere with the service's operation
Automate access without our permission

6. Payment Terms

Fees are charged according to our current pricing plan
All payments are non-refundable unless required by law
We may change pricing with 30 days notice
Subscription cancellations take effect at the end of the billing cycle

7. Intellectual Property

Our service, including our AI models, software, and algorithms, is protected by intellectual property rights. You may not copy, modify, or create derivative works of our technology.

8. Limitation of Liability

We are not liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our service. Our total liability shall not exceed the amount paid by you for the service in the past 12 months.

9. Termination

We may terminate or suspend your account at any time for violations of these terms. Upon termination, you may download your data within a reasonable timeframe.

10. Changes to Terms

We may modify these terms at any time. We will notify you of significant changes and your continued use of the service constitutes acceptance of the modified terms.

11. Governing Law

These terms are governed by the laws of the State of California, without regard to its conflict of law principles.
